Terms of Service

By accessing or using desic (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you (or the organization you represent) and desic, Inc. ("desic", "we", "our", "us").

Authority to bind an organization

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" and "your" will refer to that entity.

desic is an AI-native analytics platform that allows users to connect data sources, query data using natural language, build dashboards, set alerts, create automated reports, run ETL workflows, and access governance and data engineering tools. The specific features available to you depend on your subscription tier.

Account creation

To use desic, you must create an account by providing accurate and complete information. You are responsible for maintaining the accuracy of your account information and for all activity that occurs under your account.

Account security

You are responsible for safeguarding your login credentials. You agree not to share your credentials with any third party. You must notify us immediately at security@desic.xyz if you become aware of any unauthorized access to your account.

One account per person

Each individual user may maintain only one personal account. Organizations may have multiple user accounts under a single organization subscription.

Subscription tiers

desic offers Free, Pro ($49/month), Business ($199/month), and Enterprise (custom) tiers. Features available at each tier are described at desic.ai/pricing and may change with reasonable notice.

Billing and payment

Paid subscriptions are billed in advance on a monthly or annual basis. Payment is processed via Stripe. You authorize us to charge your payment method for all fees incurred. All fees are in USD and are non-refundable except as required by law or as expressly stated in these Terms.

Free trial

Where we offer a free trial, you will not be charged until the trial period ends. You may cancel before the trial ends to avoid being charged.

Downgrades and cancellations

You may cancel or downgrade your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds are issued for unused portions of a billing period, except at our sole discretion.

Price changes

We may change our pricing with at least 30 days' notice. If you do not agree to a price change, you may cancel your subscription before the change takes effect.

Permitted use

You may use desic only for lawful purposes and in accordance with these Terms. desic is intended for legitimate business analytics, data engineering, and intelligence use cases.

Prohibited activities

You agree not to: (a) use the Service to process data you do not have the right to process; (b) attempt to gain unauthorized access to any part of the Service or any connected system; (c) reverse engineer, decompile, or attempt to extract source code from the Service; (d) use the Service to transmit malware, spam, or harmful content; (e) resell or sublicense the Service without written permission; (f) use the Service in any way that violates applicable laws or regulations; (g) scrape or harvest data from the Service using automated means; or (h) impersonate any person or entity.

Fair use

We reserve the right to throttle or suspend accounts that place excessive load on our infrastructure in ways inconsistent with normal use patterns.

Ownership

You retain all ownership rights to the data you connect to desic and any outputs you generate (dashboards, reports, exports). We claim no ownership over your business data.

License to operate the service

By connecting data sources and using desic, you grant us a limited, non-exclusive license to access, process, and transmit your data solely as necessary to provide the Service to you. We do not use your specific business data to train our AI models without your explicit consent.

Data responsibility

You are solely responsible for ensuring you have the right to connect data sources to desic and that doing so does not violate any agreements, laws, or third-party rights. You must not connect data sources containing protected health information (PHI) unless you have executed a Business Associate Agreement (BAA) with us.

Data upon termination

Upon account deletion or termination, you may export your saved queries, dashboards, and configurations before the account closes. After account deletion, we will delete your data in accordance with our Privacy Policy.

desic's IP

The Service, including its software, design, AI models, documentation, and all content created by desic, is owned by desic and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand elements without prior written consent.

Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation or compensation to you.

Each party may have access to confidential information of the other party. Each party agrees to protect the other's confidential information with the same degree of care it uses to protect its own confidential information, but no less than reasonable care. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Service provided as-is

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

AI-generated content

desic uses AI to generate SQL queries, visualizations, insights, and other outputs. These outputs are provided for informational purposes only and may contain errors. You are solely responsible for validating AI-generated outputs before making business decisions based on them. desic is not liable for decisions made based on AI-generated analytics.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DESIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL DESIC'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DESIC IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

You agree to indemnify, defend, and hold harmless desic and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) your data or the data you connect to desic; (c) your violation of any third-party rights; or (d) your violation of applicable law.

Term

These Terms commence when you create an account and continue until terminated by either party.

Termination by you

You may terminate your account at any time through account settings or by emailing hello@desic.xyz.

Termination by us

We may suspend or terminate your account immediately if you breach these Terms, if required by law, or if continued service poses a risk to our platform or other users. We will try to give you advance notice where practical.

Effect of termination

Upon termination, your right to access the Service ceases immediately. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, and indemnification) will survive.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved after 30 days, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property disputes.

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and desic regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
